(4B) (a) Without limiting section 9(4A), the Building Inspector is directed to withhold issuance of permit for demolition and approval for demolition in the following circumstances: (i) in the case of protected heritage property, until a heritage alteration permit and any other necessary approvals have been issued with respect to alteration or redevelopment of the site; (ii) in the case of real property identified as heritage property in a community heritage register, until a building permit and any other necessary approvals have been issued with respect to the alteration or redevelopment of the site.

HERITAGE DESIGNATION 3.1 The Owner irrevocably agrees to the designation by bylaw (the "Heritage Designation Bylaw") of the Lands and the Heritage House as a City heritage site, in accordance with Section 612 -4- of the Local Government Act, and releases the City from any obligation to compensate the Owner in any form for any reduction in the market value of the Lands that may result from such designation. 3 .2 The Owner acknowledges that notice of this Agreement and amendments thereto, and of the Heritage Designation Bylaw, will be registered on title to the Lands in the Land Title Office and once registered, this Agreement and amendments thereto will be binding on all persons who acquire an interest in the Lands. 4.

The Owner and the City wish to enter into this Agreement ( as herein defined) to provide for affordable housing on the terms and conditions set out in this Agreement, In consideration of $10.00 and other good and valuable consideration (the receipt and sufficiency of which is acknowledged by both parties), and in consideration of the promises exchanged below, the Owner and the City covenant and agree as follows: ARTICLE 1 DEFINITIONS AND INTERPRETATION 1.1 In this Agreement the following words have the following meanings: (a) "Affordable Housing Unit" means a Dwelling Unit within the Development that is not a caretaker suite or designated for other use in accordance with the CD Plan; (b) "Agreement" means this agreement together with all schedules, attachments and priority agreements attached hereto; ( c) "CD Plan" means the comprehensive development plan for the Lands entitled "BC Family Housing Site" prepared by Integra Architecture Inc. and PWL Partnership Landscape Architects Inc. and filed with the City's Director Planning and Building; ( d) "City" means the City of Burnaby; (e) "CPI" means the All-Items Consumer Price Index for Vancouver, B.C. published from time to time by Statistics Canada, or its successor in function; (t) "Development" means a single low-rise development which is four storeys on its street fronting elevation on Fifteenth Street, with an additional fifth storey which is internally oriented toward the future phases of the adjacent Southgate site, constructed or to be constructed on the Lands as shown in the CD Plan; (g) "Dwelling Unit" means one or more habitable rooms constituting one self­ contained unit with a separate entrance, which is occupied or intended to be occupied as the permanent home or residence of one Family only and contains not more than one kitchen or one set of cooking facilities; (h) "Eligible Tenant" means a Family having a cumulative gross annual income, at the time the Family executes the first Tenancy Agreement for an Affordable Housing Unit, not exceeding the Housing Income Limits (HILs) Threshold Bylaw No. 13967 Page4 published by the British Columbia Housing Management Commission from time to time in respect to the size of the Affordable Housing Unit to be occupied by the Eligible Tenant; (i) "Existing Tenant" means a tenant of a Dwelling Unit at the residential buildings collectively known as "Cedar Place", located at 7133 Fourteenth Avenue, 7101 Fourteenth Avenue and 7588 Sixteenth Avenue, as of October 1, 2018; G) "Family" means a minimum of two people, including one dependent child.

PART 2: DEFINITIONS 2.1 In this Bylaw, unless the context otherwise requires, "assembly use" means a use that involves the assembly or gathering of persons for religious, charitable, philanthropic, cultural, recreational, or private educational purposes, and includes churches, auditoriums, meeting rooms, social halls, child care, youth centres, and group camps; · "bicycle lane" means that portion of a street that is designated for use by persons on bicycles; "boulevard" has the meaning set out in the Street and Traffic Bylaw; "burn" means to produce smoke, vapour or other substances that can be inhaled; "business licence" has the meaning set out in the Burnaby Business Licence Bylaw 2017, as amended or replaced from time to time; "business has the meaning set out in Burnaby Business Licence Bylaw premises" 2017, as amended or replaced from time to time "commercial use" means a use that involves: (a) the sale, rental, or repair of goods to the general public; or (b) the provision of services to a person, business or h~usehold, BylawNo. 14360 Page 2 and includes retail stores and grocery stores; personal, business and household service offices and establishments; banks and other financial services; cafes, restaurants and liquor primary establishments; personal health care offices; and commercial recreation; "crosswalk" has the meaning set out in the Street and Traffic Bylaw; "customer service means a partially enclosed or unenclosed area, including a area" balcony, patio, yard or sidewalk, that is part of or connected to or associated with a business that includes the service of food or beverages, including alcoholic beverages, to customers or other persons for consumption on site; "dwelling unit" "e-cigarette" "e-substance" "enclosed or substantially enclosed business premises" means a dwelling unit as defined in Burnaby Zoning Bylaw, 1965, as amended or replaced from time to time; means the following: (a) a product or device, whether or not it resembles a cigarette, containing an electronic or battery-powered heating element capable of vapourizing an e-substance for inhalation or release into the air; or (b) a product or device similar in nature or use to a product or device described in clause (a); means a solid, liquid or gas that, on being heated, produces a vapour for use in an e-cigarette, regardless of whether or not the solid, liquid or gas contains nicotine; means that portion, or those portions, of a business premises: (a) with a roof or other covering; and (b) in respect of which air is prevented from easily flowing through more than 50% of the wall space of that portion, or portions, of a business premises; "institutional use" means a use that involves public educational, governmental, or civic functions that are not commercial uses, and includes public schools, libraries, public recreational facilities, community centres and other civic facilities; "multi-use path" "park" "responsible person" "sidewalk" "smoke" or "smoking" "street" "Street and Traffic Bylaw" Bylaw No. 14360 Page 3 means a paved or unpaved pathway that supports shared walking, cycling and other active modes of transport and is physically separated from on-street infrastructure and facilities that support higher speed modes of transport such as motor vehicles and buses; has the meaning set out in the Parks Regulation Bylaw, 1979, as amended or replaced from time to time; means a person who owns, operates, controls, manages or supervises a business premises or a customer service area; has the meaning set out in the Street and Traffic Bylaw; means to inhale, exhale, burn or carry: (a) a lighted cigarette, cigar, pipe, hookah pipe, or other lighted smoking device or equipment that burns tobacco, cannabis or other weed or any substance; or (b) an activated e-cigarette.

building” two family dwelling or multi-family dwelling “owner” has the meaning set out in the Building Bylaw “recyclable materials” means a material, substance, or object, other than hazardous materials, that is produced, originates or results from demolition work and is one or more of the following: (a) organic material and is capable of being composted; (b) managed as a marketable commodity with an established market by the operator of a recycling facility; (c) being used in the manufacture of a new product that has an established market or is being processed as an intermediate stage of an existing manufacturing process; (d) being reused by the owner or agent for construction, whether on or off the site; or (e) a material, product or substance identified as a recyclable material in Schedule “A” of this bylaw.

Replacement and Required Inclusionary Units (bb) "Permitted Rent" means: Bylaw No.14543 Page 6 of 30 (i) with respect to a Replacement Rental Unit, the Replacement Rental Rate; and (ii) with respect to a Required Inclusionary Unit, the Required Inclusionary Rental Rate for the unit type; (cc) "Prior Site" means the lands and premises with the former civic address of 6525 Telford Avenue, as of January 29, 2018, and formerly legally described as: Parcel Identifier: 001-773-74 7 Lot 66 District Lot 153 Group 1 New Westminster District Plan 26877; (dd) "Prior Unit" means the former residential unit occupied by a Returning Tenant at the Prior Site; (ee) "Public Utility" means any utility or service provider that is regulated by the British Columbia Utilities Commission, or its successor in function; (ff) "Purchaser" has the meaning ascribed to it in section 11.2; (gg) "Rental Air Space Parcel" means an air space parcel created by subdivision of the Lands, or any portion thereof, by Air Space Plan, which air space parcel contains all the Non-Market Units and the Market Rental Units; (hh) "Rental Use Zoning Policy" means the City's Finalized Rental Use Zoning Policy approved by City Council on March 9, 2020; (ii) "Replacement Rental Rate" means, with respect to each Replacement Rental Unit, the amount equal to the Returning Tenant's rent as of the date the Returning Tenant moved out of that Returning Tenant's Prior Unit, plus any annual increases allowed under the Residential Tenancy Act between the date the Returning Tenant moved out of the Prior Unit and the effective date of the tenancy under the Tenancy Agreement for the Replacement Rental Unit together with any subsequent annual increases permitted in accordance with the Residential Tenancy Act; (jj) "Replacement Rental Unit" means a Non-Market Unit that replaces a rental unit at the Prior Site and is offered to and rented by a Returning Tenant; (kk) "Required Inclusionary Rental Rate" means an amount equal to 20% below the CMHC Market Median Rent, for the unit size and type (meaning, for greater certainty, number of bedrooms) of the Required Inclusionary Rental Unit as of the date the Owner and Eligible Tenant enter into a Tenancy Agreement, together with any annual increases permitted in accordance with the Residential Tenancy Act; Housing Agreement (lntracorp- 6521 and 6537 Telford Ave.
